Abstract. The ROSAT X-ray source RX J1940.1-1025 has recently been shown to be a new member of the rare class of asynchronous AM Her binaries. Of the three known AM Her objects of this kind with orbital periods near 3.4 h (the two others being V1500 Cyg and BY Cam) this object has the smallest separation (0.28%) between the orbital period (12116.26 +/- 0.01 s) and the spin period of the WD (12150.7 +/- 0.5 s). Contrary to the two others - in this object the orbital period is the shorter one, which places an interesting theoretical problem.
